Terms of Service

1. Acceptance of Terms

By accessing and using MeetingScribe ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and MeetingScribe.

2. Description of Service

MeetingScribe provides AI-powered meeting transcription and summarization services. The Service includes:

  • Real-time audio transcription
  • AI-generated meeting summaries
  • Recording storage and management
  • Search functionality
  • Email notifications (for Pro subscribers)

3. Account Registration and Security

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Subscription Plans and Payment

4.1 Free Plan

The Free Plan includes 180 minutes of transcription per month with basic features. Usage limits reset on the first day of each month.

4.2 Pro Plan

The Pro Plan is billed at $39 CAD per month and includes 600 minutes per day plus additional features. Subscriptions automatically renew monthly unless cancelled.

4.3 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice.

4.4 Cancellation and Refunds

You may cancel your Pro subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months, except as required by law.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Upload malicious code or attempt to compromise system security
  • Record conversations without proper consent of all participants
  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to reverse engineer or extract the source code
  • Share your account with others or allow unauthorized access

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the recordings and transcripts you create using the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service to you.

6.2 Our Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by MeetingScribe and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

6.3 Recording Consent

You are solely responsible for ensuring you have proper consent from all participants before recording any conversation. Recording laws vary by jurisdiction. In Canada, you must obtain consent from at least one party to a conversation (one-party consent), but some jurisdictions may require all-party consent.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your privacy in accordance with PIPEDA and other applicable Canadian privacy laws.

8. Service Availability and Modifications

We strive to provide reliable service, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of the Service.

We may also update these Terms from time to time. We will notify you of material changes and your continued use of the Service constitutes acceptance of the updated Terms.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Accuracy of Transcriptions

While we strive for accuracy, we do not guarantee that transcriptions will be error-free. Transcription accuracy depends on factors including audio quality, accents, background noise, and technical limitations. You are responsible for reviewing and verifying transcriptions.

9.3 Limitation of Liability

To the maximum extent permitted by law, MeetingScribe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless MeetingScribe and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).

12. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We will delete your data within 30 days of termination, except where we are required to retain it for legal purposes.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MeetingScribe regarding the Service and supersede all prior agreements and understandings.
